Identity of the Contracting Parties
The contracting parties are: On one hand, Rafael Gallego Trillo, with registered address: C/Ramón Barranco, 17, 41820 Carrión de los Céspedes (Sevilla), with N.I.F.: 32049404P, contact email: info@supershippingwoo.com. On the other hand, the AFFILIATE, being a natural person over 18 years of age or a legally constituted legal entity, the legitimate owner of one or several websites, who wishes to participate in the affiliate program of Super Shipping for WooCommerce (owned by Rafael Gallego), in accordance with the conditions of affiliation established herein.
Affiliate Terms of Use
As an authorized affiliate (Affiliate) of Super Shipping for WooCommerce, you agree to comply with the terms and conditions outlined in this Agreement. Please read the entire Agreement carefully before registering and promoting Super Shipping for WooCommerce as an affiliate.
Your participation in the Program is solely to legally advertise our website to receive a commission on products purchased by individuals referred to Super Shipping for WooCommerce through your own website or personal referrals.
By enrolling in the Super Shipping for WooCommerce Affiliate Program (Program), you indicate your acceptance of this Agreement and its terms and conditions.
Approval or Rejection of Application
We reserve the right to approve or reject ANY Affiliate Program Application at our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.
Commissions, Accrual, and Payment Method
A single commission rate of 25% is established on the price of the plans (excluding applicable taxes such as VAT) for each initial order placed by a referral within 60 days immediately following access to the website via the provided link. If the tracking cookie is deleted by the user, the affiliate will not be entitled to any commission since it becomes impossible to detect that the purchase was made through the referral link.
Furthermore, since all links from each affiliate set the tracking cookie, if a user clicks on one affiliate's link and later clicks on a different affiliate's link, the tracking cookie from the latter URL will replace the previous one. Therefore, if that user purchases any Super Shipping for WooCommerce plan, the commission will be credited to the owner of the last link the user clicked on.
Commissions will be paid once a month or as agreed upon between the parties. Payment will be made via bank transfer or PayPal friends and family, and the affiliate will issue an invoice to Rafael Gallego Trillo, including the relevant taxes.
For an affiliate to receive a commission, the referred account must remain active for a minimum of 31 days, allowing time for new customers to test the service and, in the event of contract cancellation, request a refund of the amount paid, which will ultimately be refunded to their bank account.
You cannot refer yourself, and you will not receive a commission for your own accounts.
Payments will only be sent for successfully completed transactions. Transactions resulting in refunds or returns will not be paid.
Commissions will not be recurring; therefore, commissions are only valid for the initial order of the referral.
Cancellation
Your affiliate application and your status in the Program may be suspended or terminated for any of the following reasons:
– Inappropriate advertising (false claims, deceptive hyperlinks, etc.).
– Spamming (mass email, mass posting in newsgroups, etc.).
– Advertising on sites that contain or promote illegal activities.
– Failure to disclose your affiliate relationship for any endorsement that qualifies as such under existing Federal Trade Commission guidelines and regulations, or any applicable state law.
– Violation of intellectual property rights. Super Shipping for WooCommerce reserves the right to require license agreements from those who use Super Shipping for WooCommerce trademarks to protect our intellectual property rights.
– Offering refunds, coupons, or other forms of commission kickbacks as an incentive. However, it is acceptable to offer bonuses or bundle other products with Super Shipping for WooCommerce.
– Self-referrals, fraudulent transactions, suspected affiliate fraud.
In addition to the above, Super Shipping for WooCommerce reserves the right to cancel any affiliate account at any time for any violation of this Agreement or without reason.
Affiliate Links
You may use both graphic and text links on your website and in your email messages. You can also advertise the Super Shipping for WooCommerce site in online and offline classified ads, magazines, and newspapers.
You may use the graphics and text provided by us, or you may create your own as long as they are deemed appropriate in accordance with the terms and do not violate what is outlined in the Terms section.
Liability
Super Shipping for WooCommerce shall not be liable for indirect or incidental damages (loss of revenue, commissions) due to failures in affiliate tracking, loss of database files, or any results of attempts to harm the Program and/or our website(s).
We do not provide any express or implied warranties regarding the Program and/or affiliations or products sold by Super Shipping for WooCommerce. We make no claims that the operation of the Program and/or our website(s) will be error-free, and we will not be responsible for any interruptions or errors.
Duration of the Agreement
The term of this Agreement begins with your acceptance into the Program and will end when your Affiliate account is terminated.
The terms and conditions of this agreement may be modified by us at any time. If any modification of the terms and conditions of this agreement is unacceptable to you, your only recourse is to cancel your Affiliate account. Your continued participation in the Program will constitute your acceptance of any changes.
Indemnification
The Affiliate shall indemnify and hold harmless Super Shipping for WooCommerce and its employees, licensees, successors, and assigns, including those licensed or authorized by Super Shipping for WooCommerce to transmit and distribute materials, from any and all liability, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising from or related to any and all claims asserted in connection with this Agreement due to the negligence, misrepresentation, lack of disclosure, or intentional misconduct of the Affiliate.
Effective Electronic Signatures
This Agreement is an electronic contract that establishes the legally binding terms of your participation in the Super Shipping for WooCommerce affiliate program. You signify your acceptance of this Agreement and all terms and conditions contained or referenced in this Agreement by becoming a part of the Super Shipping for WooCommerce Affiliate Program.
Applicable Law
In matters not specified in this contract, as well as in the interpretation and resolution of any disputes that may arise between the parties as a result of it, Spanish law shall apply. To resolve any disputes arising from the interpretation and execution of this affiliate agreement, both parties shall submit to the jurisdiction and competence of the Courts and Tribunals of Sevilla.
